  • I’ve heard about it, and read about it. It seems to be a reality for those just over the threshold. There’s good article about this on Bloomberg. It may be a useful read.

    Hope that helps,
    Rick

  • There are more ways than to go private - I believe.
Shouldnt you also look at those cpies pulling out of the capital market in the USA and considering a listing at another stock exchange?

  • We are investigating.
It is quite clear to us that it simply doesn’t pay off to be listed in U.S.

    • The estimated cost of SOX process is close to USD8 million for the first year.
    • Share trade volumes in US are low and
    • the cost of capital is hardly affected if we abandon NYSE.
The only challenge is to figure out how to do it. NYSE rules don’t allow us to seek delisting unless we have less than 400 ADR holders.
SOX will not prevent corporate frauds, neither does it increase shareholder value. I feel that we are victims of a dirty scam, which has been set up by greedy lobbyists to support Big-4’s business. It is just an additional cost to US companies decreasing their competiveness in the global market.

Ah, the view from the grassy knoll
SOx will improve corporate governance and that is a good thing. The US certainly needed it and other key markets are following suit. The UK already has it’s version of SOx but that is likely ot be beefed up as part of wider EU reform on corporate givernance.
SOx may not have prevented Enron, but at least it would have put the culprits in jail.

  • There seems to be the threat of UK listed companies de-listing from the NASDAQ and NYSE due to SOx, and this may be sought from the following article. Any feedback on what is thought around this article would be interesting. accountancyage.com/news/1138812

  • Yes, I got the news some companies pulling out of SEC.
I spent 2/3 my time on SOX project last year. Our team is called SOX team in stead of internal control team now.
