Time deadlines for SOX 2403

    I am new to this forum and SOX. I want to know the time deadlines. i.e When shud the reports under 404 be submitted by the companies. And how far it can be back dated.
    Can you pleaes help

  • Currently there is a deadline of 6 months after the end of your financial year for foreign private issuers to file their annual reports on form 20-F with the U.S. Securities and Exchange Commission. Item 15 of form 20-F contains management’s assessment of the effectiveness of internal control over financial reporting, the auditor’s attestation to the effectiveness and disclosre of material changes in internal cotnrols over financial reporting during the year.
    Management’s assessment and the auditor’s attestation is always as of the end of the financial year. Often, the majority of the financial closing work for the annual consolidated financial statements and the related controls are performed after the end of the year. So in a way the assessment is always backdated.
    The SEC is currently proposing to shorten those deadlines for filing annual reports on form 20-F for foreign private issuers.
