I am curious as to whether legal undertakings I submit to in New Zealand can affect my status under the SOX in America?
Does anyone have any experience in this?
Thankyou in advance.

As far as I know the main (public listed) company has to know all his ‘financial’ risks with Sox… How will the main company assure the worth of assets in his JV overseas if this JV has no Sox ??? %0ASo according to this I think is has to have also Sox… %0AMy company (in the Netherlands) is a 100% daughter of an American company; we are here also into the Sox…

Thanks for your prompt reply, but there is something specific I hope you can clarify for me:
In NZ I was involved in a company that went under, and was required to give an undertaking to the NZ Securities Exchange Commission not to manage a company.
Does this need to be disclosed under SOX?
Thanks in advance…

Oops, that is food for law-people. :?
I think it depends which conditions the NZ SEC made in their prohibition…
I’m no lawyer and also not that familiar with the Exchange Commission in NZ… sorry…
