Help on Corporate governance 2359

I’m currently finishing my studies in a french business school, but to get my diploma I need to do an oral presentation on a subject I picked at random, namely: Enron and Worldcom: What transformations did they impose to corporate governance?
As a marketing student I am frankly not an expert in finance and corporate governance. I have already found some materials to talk about like the different reports (Bouton, Vienot, Clement in France) or the Sarbanes Oxley Act.
Are there any subjects/themes/laws/issues/events that I have to talk about in order to grasp the subject completely?

I recommend to read an article about the Sarbanes-Oxley Act in a French law journal or business journal. You can find the Sarbanes-Oxley Act itself on the SEC website.
In addition, the enactment of the Sarbanes-Oxley Act in the U.S. triggered certain EU directives in the field of Corporate Governance. I recommend to visit the website of the European Commission’s directorate general for the internal market, specifically the corporate law, the financial reporting and the audit unit.

Hi Tom and welcome to the forums
While SOX has provided improved controls and financial accountability , it’s also added significant costs and some overhead in doing business (audit costs have doubled for most companies).
One idea is to use the forum SEARCH feature and enter the keyword benefits (as there are numerous threads discussing the pros and cons that you might be to work into your presentation. You may want to read some of the recent threads in various forums asking the more general questions.
