Generally, compliance with the Sarbanes-Oxley act is only required for companies that are registered with the U.S. Securities and Exchange Commission (SEC). These would be companies that are required to file a Form 10K with the SEC because they have sold either publicly traded debt instruments or equity securities in the United States.
